The US IPO market appears strong on the surface, but headline fundraising figures are inflated by a few mega-debuts like SpaceX, masking a severe structural decline in overall listing activity. Promising young companies now stay private for prolonged periods, allowing founders and venture capitalists to capture the bulk of high-growth returns while retail investors are shut out until valuations are already bloated, ultimately exacerbating economic inequality.

Addressing the IPO slump, SEC Chair Paul Atkins proposes cutting compliance burdens through deregulatory measures such as easing audit mandates and quarterly reporting, yet this diagnosis is fundamentally flawed. High-growth innovative firms avoid public markets not due to relatively minor compliance expenses, but to shield trade secrets and capitalize on easy private fundraising established since 1996; weakening public disclosure merely harms investor protections without solving the root issue.

To revitalize public equity markets, regulators should focus on increasing transparency within shadowy private markets rather than lowering public standards, such as mandating financial disclosures for private firms valued over $10 billion with a one-year public lag. Such delayed reporting protects competitive secrets while removing the perverse incentive for giants to remain private indefinitely, ensuring that future industry leaders enter the public eye early enough for ordinary investors to participate in their growth.
